
Narrin Terms and Conditions

1. Agreement to These Terms
These Terms and Conditions (“Terms”) form a legally binding agreement between you and Narrin LLC, doing business as Narrin (“Narrin,” “we,” “us,” or “our”).
These Terms govern your access to and use of:
The Narrin.io website.
Narrin Studio.
Narrin accounts and subscription services.
Software, downloads, updates, and digital products provided by Narrin.
Founders Club benefits, promotional offers, beta programs, and related services.
Any other Narrin product or service that links to these Terms.
Collectively, these are referred to as the “Services.”
By clicking a button or checking a box indicating your acceptance, creating an account, purchasing a product or subscription, downloading or installing Narrin software, or otherwise using the Services after being presented with these Terms, you agree to be bound by them.
If you do not agree to these Terms, do not create an account, purchase a product, download Narrin software, or use the Services.
If you use the Services on behalf of a company, organization, or other legal entity, you represent that you have authority to bind that entity to these Terms. In that case, “you” includes that entity.
2. Additional Policies and Product Terms
The following policies are incorporated into or apply alongside these Terms:

Any subscription, order, promotion, beta, or product-specific terms presented at the time of purchase or enrollment.
Any applicable software license, app-store terms, or third-party platform terms.
Specific order or promotion terms control over these general Terms with respect to the particular product, price, benefit, or promotion covered by those terms.
The Refund and Cancellation Policy controls if there is a conflict concerning cancellation eligibility or refund calculations.
The Privacy Policy explains how Narrin collects, uses, retains, and protects personal information.
Nothing in these Terms limits any consumer right that cannot legally be waived.
3. Eligibility
You must be at least 18 years old and legally capable of entering into a binding contract to purchase a Narrin subscription or Lifetime Plan.
The Services are not directed to children under 13 years of age. A person under 13 may not create a Narrin account or purchase a Narrin product.
A parent or legal guardian may use Narrin to organize lawful family photographs and memories that include children. The adult account holder remains responsible for the content uploaded to the account and for complying with applicable privacy, consent, and parental-rights requirements.
By using the Services, you represent that:
You meet the applicable age and legal-capacity requirements.
The information you provide is accurate.
You are not prohibited from using the Services under applicable law.
You will comply with these Terms and all applicable laws.
4. Narrin Services
Narrin is a life-story platform designed to help users organize, enrich, display, and experience photographs, videos, locations, events, people, tags, captions, stories, and related information.
Depending on your plan and the features available, the Services may include:
Narrin Studio software.
Media organization and cataloging.
Location, event, people, and tag management.
Slideshow creation.
Pre-rendering and format conversion.
Map and location presentation.
Media synchronization.
Cloud-connected features.
Digital display and viewing features.
Search and discovery tools.
Automated or AI-assisted recommendations.
Beta, preview, and early-access features.
Features may differ according to subscription level, device, operating system, geographic location, product version, and release stage.
Descriptions on Narrin.io are intended to explain the Services but do not guarantee that every described or planned feature will be available in every plan, device, or product version.
5. Account Registration and Security
Some Services require a Narrin account.
You agree to:
Provide current and accurate registration information.
Maintain only accounts you are authorized to use.
Keep your password and login credentials confidential.
Use reasonable measures to protect your account.
Promptly update your email address and other account information.
Notify Narrin promptly if you suspect unauthorized access or a security incident.
You are responsible for activity performed through your account unless the activity resulted directly from Narrin’s failure to use reasonable security measures.
You may not sell, transfer, lease, sublicense, or provide another person with permanent control of your account unless Narrin expressly authorizes the transfer.
The number of permitted users, installations, devices, displays, storage locations, or connected accounts may depend on the plan purchased. The applicable limits will be identified on the order page or in the product documentation.
6. Limited License to Use Narrin
Subject to your compliance with these Terms and payment of applicable fees, Narrin grants you a limited, nonexclusive, nontransferable, nonsublicensable, and revocable license to access and use the Services during your applicable subscription or license period.
Unless your plan states otherwise, the license is limited to:
Your personal use.
Your household’s use.
Your internal business or institutional use when purchasing an eligible commercial or institutional plan.
The number of users and devices permitted by your plan.
This license does not transfer ownership of Narrin software, source code, trademarks, documentation, designs, templates, interfaces, databases, or other intellectual property.
You may not:
Copy Narrin software except for an authorized installation or backup.
Sell, rent, lease, sublicense, distribute, or commercially exploit the Services except as expressly authorized.
Reverse engineer, decompile, disassemble, or attempt to derive Narrin source code, except where applicable law expressly permits the activity.
Circumvent license controls, subscription restrictions, security measures, or device limitations.
Modify or create derivative software based on Narrin software.
Remove copyright, trademark, patent, or ownership notices.
Use Narrin software to build or assist a competing product through unauthorized extraction or replication.
Make Narrin software available through a service bureau, hosted service, or shared commercial environment unless your plan permits it.
Any rights not expressly granted are reserved by Narrin and its licensors.
7. Software Updates and Compatibility
Narrin may provide updates, upgrades, corrections, patches, security changes, or new versions of the software.
Updates may:
Install automatically.
Be required for continued access.
Correct security or operational issues.
Add, remove, or modify features.
Change device or operating-system requirements.
Replace an earlier version of the software.
You are responsible for maintaining compatible devices, operating systems, network access, storage, and third-party software.
Narrin does not guarantee that every software version will remain compatible with every device, operating system, digital photo frame, media format, map service, cloud provider, or third-party platform indefinitely.
Open-source components included in the Services may be governed by separate open-source licenses. Those licenses control with respect to the applicable component.
8. Prices, Orders, and Payment
Prices, currencies, subscription periods, included features, and payment terms are presented during checkout.
You agree to:
Pay all charges associated with your order.
Provide accurate and authorized payment information.
Pay applicable sales, use, value-added, and similar taxes unless the displayed price states that taxes are included.
Keep your payment information current for automatically renewing subscriptions.
By submitting payment information, you authorize Narrin and its payment provider to charge the applicable amount, including taxes and authorized recurring charges.
Narrin may correct pricing or product-description errors before fulfilling an order. If an error affects an order that has already been charged, Narrin may contact you to provide the option to accept the corrected terms or cancel the affected order for a refund.
Payment-card information may be collected and processed directly by a third-party payment provider. Narrin may receive limited billing and transaction information from that provider.
9. Annual Narrin Studio Subscriptions
A Narrin Studio Annual Subscription provides access for a 12-month subscription term, subject to these Terms and the features included in the purchased plan.
Automatic Renewal
If the order page identifies your Annual Subscription as automatically renewing, the subscription will renew for another annual term unless canceled before the renewal date.
The payment method associated with your account will be charged the then-current renewal price, plus applicable taxes.
Narrin will provide renewal, price-change, and subscription notices when required by applicable law.
If the order page states that the subscription does not renew automatically, access will expire at the end of the purchased term unless you purchase another subscription.
Cancellation
You may cancel an Annual Subscription at any time.
For cancellation and refund purposes, the annual term is divided into 12 monthly service periods.
When you cancel:
You retain access through the end of the monthly service period in which the valid cancellation request is received.
The current monthly service period is not refundable.
Cancellation becomes effective at the beginning of the next monthly service period.
Narrin Studio access and subscription-dependent services are disabled on the effective cancellation date.
You receive a prorated refund for the unused full monthly service periods remaining in your annual term.
The prorated refund is calculated as follows:
Actual annual subscription amount paid ÷ 12 × unused full months remaining
Discounts, coupons, Kickstarter credits, Founders Club credits, or other price reductions applied to the original purchase will be reflected in the refund calculation.
Promotional benefits and noncash credits have no separate refundable cash value unless the promotion expressly states otherwise.
Refunds will ordinarily be returned to the original payment method. Processing time may depend on the payment provider, card issuer, bank, and payment method.

10. Lifetime Plans
A Narrin Studio Lifetime Plan is a one-time purchase rather than an annually renewing subscription.
Meaning of “Lifetime”
Unless the order page expressly provides a different definition, “Lifetime” means the commercial life of the applicable Narrin Studio product, edition, or service purchased. It does not mean the natural lifetime of the purchaser or any other individual.
A Lifetime Plan provides access for as long as Narrin continues to make the applicable product or edition generally available and technically supportable, subject to:
Compliance with these Terms.
Applicable device and operating-system compatibility.
Product modifications and technical evolution.
Security requirements.
Third-party platform availability.
Applicable law.
A Lifetime Plan does not guarantee:
That Narrin or any specific feature will operate forever.
Perpetual cloud hosting or unlimited cloud storage.
Permanent compatibility with every operating system or device.
Access to future products, separately sold applications, premium add-ons, storage plans, or services not included in the original purchase.
That all product functionality will remain unchanged.
Narrin will not arbitrarily revoke valid Lifetime Plan access while the applicable product remains commercially available. Access may nevertheless be suspended or terminated for material breach, fraud, unlawful use, security threats, nonpayment of separate charges, or legal requirements.
No Refunds
Lifetime Plan purchases are final and nonrefundable after the purchase and delivery or activation of access, except where a refund is required by applicable law or expressly promised in the applicable order terms.
The no-refund rule applies even if you:
Stop using Narrin Studio.
Close your account.
Replace your device.
No longer have compatible hardware or software.
Decide that Narrin Studio no longer meets your needs.
Purchase another Narrin product or plan.
The Lifetime Plan description and no-refund provision should be reviewed before completing the purchase.
11. Free Trials and Promotional Access
Narrin may offer free trials, limited trials, introductory access, or promotional subscription periods.
The offer will identify:
The duration of the trial or promotion.
The features included.
Whether payment information is required.
Whether the offer converts into a paid subscription.
The date and amount of the first charge.
How to cancel before being charged.
Unless the offer states otherwise, a free trial may be used only once per person, household, organization, payment method, or account.
Narrin may modify or terminate a promotional offer when legally permitted, but changes will not retroactively alter a completed purchase without appropriate notice or consent.
12. Founders Club, Kickstarter, Discounts, and Promotional Credits
Narrin may offer Founders Club memberships, reservation programs, Kickstarter benefits, promotional credits, discounts, badges, early-access opportunities, or other special programs.
Each program may be governed by separate terms presented with the offer.
Unless those terms state otherwise:
Benefits apply only to the eligible participant.
Unique membership or reservation identification numbers may not be reproduced, sold, or fraudulently transferred.
Discounts and credits may be limited to one use.
Credits are not legal tender and have no cash-redemption value.
Benefits may be subject to eligibility requirements and expiration dates.
A promotional credit does not guarantee product availability.
Lost, stolen, copied, or fraudulently obtained identifiers may be deactivated.
A benefit may not be combined with another promotion unless expressly permitted.
Purchases made through Kickstarter or another third-party platform are also subject to that platform’s terms, payment procedures, and refund rules.
13. Failed Payments
If an authorized payment cannot be completed, Narrin may:
Retry the payment.
Request updated payment information.
Suspend paid features.
Disable synchronization or cloud-dependent services.
Prevent renewal.
Terminate the affected subscription after reasonable notice.
You remain responsible for valid charges incurred before suspension or termination.
Narrin will not charge amounts that were not properly authorized.
14. Price Changes
Narrin may change subscription prices, storage prices, or paid-feature prices.
A price change will not retroactively change the amount already paid for the current subscription term.
For an automatically renewing subscription, the new price will ordinarily apply beginning with the next renewal term. Narrin will provide advance notice when required by applicable law.
You may cancel the subscription before the price change takes effect.
15. Purchases Through Third Parties
Narrin products may be distributed through:
The Apple App Store.
Google Play.
The Microsoft Store.
Kickstarter.
Ecommerce providers.
Authorized resellers.
Other third-party platforms.
Third-party purchases may be governed by the provider’s payment, subscription, cancellation, tax, and refund procedures.
When a third party controls the billing relationship, Narrin may be unable to issue a refund directly. You may be required to manage or cancel the subscription through the provider that processed the purchase.
16. Your Photographs and Other Content
“User Content” means photographs, videos, audio, captions, stories, names, locations, dates, events, tags, relationship information, metadata, map information, comments, files, and other material you upload, import, create, or submit through the Services.
You Retain Ownership
Narrin does not claim ownership of your User Content.
As between you and Narrin, you retain the ownership rights you have in your User Content.
Limited Permission to Provide the Services
You grant Narrin a nonexclusive, worldwide, royalty-free license to host, store, copy, transmit, index, analyze, convert, render, display, and otherwise process User Content solely as reasonably necessary to:
Provide the Services you request.
Generate thumbnails and pre-rendered versions.
Convert media into supported formats.
Create slideshows and displays.
Associate content with locations, events, people, and tags.
Synchronize content between authorized devices.
Create technical backups.
Provide search, organization, and recommendation features.
Maintain security and prevent fraud.
Comply with your sharing instructions.
Satisfy legal obligations.
Narrin may allow its contracted service providers to process User Content only as needed to perform services for Narrin and subject to applicable confidentiality, privacy, and security obligations.
This license ends when the User Content is deleted from active Narrin systems, except that residual copies may remain temporarily in backups, security records, or legally required records.
Narrin will not publicly display private User Content or use it in advertising, testimonials, or promotional materials without your permission.
Your Responsibilities
You represent that:
You own the User Content or have the rights and permissions necessary to upload and process it.
Your use of the User Content through Narrin does not violate copyright, privacy, publicity, confidentiality, contractual, or other rights.
You will not upload unlawful or prohibited content.
You have appropriate authority to use information relating to other people.
You will use reasonable care before sharing private family or personal content.
Narrin does not obtain ownership of a photograph merely because it is uploaded to the Services.
17. Sharing User Content
Some Narrin features may allow you to share content, slideshows, stories, links, or access with family members, friends, collaborators, viewers, or connected devices.
You control whom you authorize to access shared content, subject to the available product settings.
You are responsible for:
Selecting appropriate recipients.
Reviewing sharing permissions.
Removing access when it is no longer appropriate.
Avoiding public distribution of content you do not have permission to share.
Understanding that recipients may capture, download, copy, or redistribute content outside Narrin’s control.
Narrin cannot control what an authorized recipient does with content after accessing or downloading it.
18. Storage, Backup, Export, and Deletion
Narrin is not intended to be the sole archival backup of your original photographs, videos, or other important files.
You should maintain independent backups of:
Original media.
Edited media.
Narrin database exports.
Captions and stories.
Location and event records.
Rendered slideshows.
Other content you wish to preserve.
Narrin may use backup and recovery procedures, but it does not guarantee that every file or version can always be recovered.
Before canceling a subscription or closing an account, you should export or download any content you wish to retain.
When a subscription cancellation becomes effective:
Narrin Studio access will be disabled.
Subscription-dependent cloud and synchronization features may stop.
You may no longer be able to access content stored only through subscription-dependent services.
Narrin is not obligated to maintain indefinite access to inactive account content.
Account and content deletion will be handled according to the Narrin Privacy Policy, applicable product notices, and legal retention requirements.
Suspension or termination does not automatically erase files already stored locally on devices under your control, although the ability to access or use those files through Narrin software may be affected.
19. Automated and AI-Assisted Features
Narrin may offer automated or artificial-intelligence-assisted features, such as:
Tag suggestions.
Location suggestions.
Object or scene recognition.
Caption suggestions.
Story generation.
Semantic search.
Person or relationship suggestions.
Slideshow recommendations.
Content organization.
Automated results may be incomplete, inaccurate, outdated, or inappropriate for a particular photograph or situation.
You are responsible for reviewing results before saving, publishing, sharing, or relying on them.
You should not treat an automated output as verified factual information about:
A person’s identity.
A relationship.
A location.
A date.
An event.
A sensitive personal characteristic.
Ownership of content.
Features involving facial recognition, biometric identifiers, or similarly regulated information may be subject to additional notices, permissions, and consent requirements. These Terms alone do not authorize Narrin to collect regulated biometric data when separate consent is legally required.
Narrin may use third-party AI service providers when disclosed in the applicable product or privacy notice.
20. Acceptable Use
You may use Narrin only for lawful purposes and in accordance with these Terms.
You may not use the Services to:
Violate applicable law or another person’s rights.
Upload content you do not have the right to use.
Harass, threaten, defame, exploit, or unlawfully surveil another person.
Upload child sexual abuse material or content that sexually exploits minors.
Promote violence, terrorism, or unlawful activity.
Upload malware, malicious code, ransomware, or harmful files.
Attempt to gain unauthorized access to an account, system, network, or database.
Test or scan Narrin systems for vulnerabilities without written authorization.
Interfere with the operation, security, or availability of the Services.
Circumvent technical restrictions or subscription controls.
Scrape, harvest, or extract information through unauthorized automated means.
Misrepresent your identity or affiliation.
Use another person’s account without permission.
Generate excessive traffic or place an unreasonable burden on the Services.
Use the Services to infringe copyright, trademark, privacy, publicity, or other rights.
Fraudulently obtain or redeem a discount, credit, membership, or access benefit.
Resell consumer access without authorization.
Use Narrin outputs to make unlawful or high-impact decisions about another person.
Assist another person in engaging in prohibited conduct.
Narrin may investigate suspected violations and cooperate with lawful requests from authorities.
21. Narrin Intellectual Property
The Services and their components are owned by Narrin or its licensors and are protected by copyright, trademark, patent, trade-secret, and other intellectual-property laws.
Narrin intellectual property includes, without limitation:
The Narrin name and logos.
“A Life Story Platform” and other brand elements.
Narrin Studio, Narrin View, and Narrin Find names and designs.
Software and source code.
User interfaces.
Databases and data structures.
Templates and layouts.
Icons and graphics.
Documentation.
Website content.
Product designs.
Rendering and display systems.
Patent-pending inventions and related technology.
You may not use Narrin trademarks, logos, branding, or copyrighted materials without prior written permission, except for lawful nominative references to Narrin products.
No license is granted by implication, estoppel, or otherwise.
22. Feedback
You may voluntarily provide ideas, comments, suggestions, feature requests, or other feedback regarding Narrin.
You grant Narrin permission to use, evaluate, develop, commercialize, and incorporate that feedback without payment or obligation to you.
This permission does not give Narrin ownership of your photographs, private stories, confidential content, or other User Content merely because the content was submitted through the Services.
Do not submit confidential business information as general product feedback unless a separate confidentiality agreement applies.
23. Copyright Complaints
Narrin respects intellectual-property rights and may remove or disable access to content that is alleged to infringe copyright.
A copyright complaint should include:
A physical or electronic signature of the copyright owner or authorized representative.
Identification of the copyrighted work claimed to have been infringed.
Identification of the allegedly infringing material and information reasonably sufficient to locate it.
Your name and contact information.
A statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.
A statement that the information in the notice is accurate and, under penalty of perjury, that you are authorized to act for the copyright owner.

Narrin may forward the complaint to the affected user.
A user who believes content was removed because of mistake or misidentification may submit an appropriate counter-notification.
Narrin may terminate accounts of repeat infringers in appropriate circumstances.
24. Third-Party Services and Integrations
Narrin may interact with third-party products and services, including:
Cloud-storage providers.
Payment processors.
Mapping services.
Artificial-intelligence services.
Operating systems.
App stores.
Social-media platforms.
Digital photo frames.
Email and communication providers.
Analytics providers.
Crowdfunding platforms.
Third-party services are governed by their own terms and privacy policies.
Narrin does not control and is not responsible for a third party’s:
Availability.
Security.
Accuracy.
Content.
Pricing.
Data practices.
Product changes.
Compatibility.
Decision to discontinue an integration.
Narrin may modify or discontinue an integration if the third party changes its technology, terms, access, pricing, or availability.
25. Beta, Preview, and Early-Access Features
Narrin may provide beta, experimental, preview, prototype, or early-access features.
These features:
May be incomplete or unstable.
May contain errors.
May change without notice.
May have limited support.
May not be suitable for production or archival use.
May be discontinued before a general release.
May result in data incompatibility or loss.
You should maintain independent backups before using beta features.
A beta program may be subject to additional terms, confidentiality requirements, testing instructions, or feedback obligations.
Participation in a beta program does not guarantee that the tested feature will be commercially released.
26. Privacy
Narrin’s collection and use of personal information is described in the Narrin Privacy Policy.
By using the Services, you acknowledge that the Services may process information such as:
Account and contact information.
Purchase information.
Device and diagnostic information.
Photographs and videos.
Location and event information.
Names and relationship information.
Tags, captions, and stories.
Media metadata.
Support communications.
You are responsible for reviewing the Privacy Policy before using the Services.
27. Service Availability and Modifications
Narrin may perform maintenance, install updates, manage capacity, respond to security threats, or modify the Services.
Narrin does not guarantee that the Services will be available without interruption or error.
Narrin may add, change, replace, or remove features to:
Improve the product.
Address security or privacy risks.
Maintain legal compliance.
Respond to third-party technology changes.
Improve performance.
Replace obsolete functionality.
Develop new products or plans.
Narrin will not retroactively reduce a prepaid customer’s contractual refund rights.
When reasonably practical, Narrin will provide notice before a material change that significantly affects a paid Service. Any remedies will be determined by the applicable order terms, Refund and Cancellation Policy, and mandatory law.
28. Suspension and Termination by Narrin
Narrin may suspend or terminate access when reasonably necessary because of:
A material violation of these Terms.
Nonpayment.
Fraud or unauthorized payment activity.
Unlawful conduct.
Infringement of another person’s rights.
A security threat.
Abusive or disruptive activity.
A legal or governmental requirement.
Use that creates material risk to Narrin, another user, or a third party.
Discontinuation of the applicable Service.
When appropriate and legally permitted, Narrin will provide notice and a reasonable opportunity to correct a remediable violation.
Narrin may suspend access immediately when necessary to prevent fraud, unlawful activity, security harm, or material damage.
If Narrin terminates a paid Annual Subscription for convenience and not because of your breach, fraud, nonpayment, or unlawful conduct, Narrin will provide the prorated refund required by the applicable plan and Refund and Cancellation Policy.
If Narrin terminates an account because of your material breach, you are not entitled to a refund except where required by law.
29. Termination by You
You may stop using the Services at any time.
You may close your account or cancel an eligible subscription through the available account-management process or by contacting:

Closing an account and canceling a subscription may have different consequences.
Canceling an Annual Subscription follows the timing and prorated-refund process described in Section 9 and the Narrin Refund and Cancellation Policy.
A Lifetime Plan is nonrefundable even if you voluntarily close the account, except where required by law.
Provisions that by their nature should continue after termination will survive, including provisions concerning ownership, payment obligations, intellectual property, disclaimers, liability limitations, indemnification, dispute resolution, and miscellaneous terms.
30. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
Narrin disclaims all implied warranties, including implied warranties of merchantability, fitness for a particular purpose, title, noninfringement, quiet enjoyment, and any warranty arising from a course of dealing or usage of trade.
Narrin does not warrant that:
The Services will be uninterrupted, error-free, or completely secure.
Every file can be recovered.
Automated or AI-assisted outputs will be accurate.
The Services will meet every user’s requirements.
Every third-party integration will remain available.
The Services will work with every device, media format, or operating system.
Defects will always be corrected.
Maps, locations, dates, tags, names, or other metadata will always be accurate.
The Services are a substitute for independent backups.
You use the Services at your own reasonable discretion and risk.
These disclaimers do not exclude warranties, guarantees, or remedies that cannot lawfully be excluded.
31. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NARRIN AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES.
This includes damages arising from:
Lost profits or revenue.
Business interruption.
Loss of goodwill.
Loss or corruption of photographs, videos, metadata, stories, tags, or other content.
Loss of access.
Device or software incompatibility.
Inaccurate automated results.
Unauthorized access caused by circumstances outside Narrin’s reasonable control.
Third-party products or services.
Emotional value associated with lost or inaccessible memories.
To the maximum extent permitted by law, Narrin’s total aggregate liability arising from or relating to the Services will not exceed the greater of:
The amount you paid Narrin for the affected Service during the 12 months preceding the event giving rise to the claim; provided that for a Lifetime Plan, this amount means the purchase price paid for that Lifetime Plan; or

The limitations apply regardless of the legal theory and even if Narrin was advised that damages were possible.
These limitations do not apply to liability that cannot legally be excluded or limited, including liability resulting from fraud, willful misconduct, or another category of liability that applicable law makes nonwaivable.
Some jurisdictions do not permit certain warranty exclusions or liability limitations. In those jurisdictions, the exclusions and limitations apply only to the extent legally permitted.
32. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Narrin and its owners, officers, employees, contractors, affiliates, and service providers from third-party claims, liabilities, losses, damages, judgments, costs, and reasonable legal fees arising from:
Your User Content.
Your unlawful use of the Services.
Your material breach of these Terms.
Your infringement of another person’s rights.
Your unauthorized sharing or processing of another person’s information.
Fraudulent use of a subscription, promotion, credit, or membership identifier.
Narrin will provide reasonable notice of an indemnified claim and may control the defense and settlement of the claim. You agree to provide reasonable cooperation.
Narrin will not settle a claim in a manner that imposes a personal admission of wrongdoing or nonmonetary obligation on you without your consent, which will not be unreasonably withheld.
33. Governing Law
These Terms are governed by the laws of the State of Minnesota, without regard to conflict-of-law principles.
Mandatory consumer-protection rights available under the law of your state or country of residence are not waived by this provision.
Any legal action that is not subject to a different legally required venue must be brought in the state or federal courts located in Scott county, Minnesota, and you and Narrin consent to the jurisdiction of those courts.
Before filing a legal action, the parties agree to make a reasonable good-faith effort to resolve the dispute informally.
A written dispute notice should include:
Your name and account email.
A description of the dispute.
Relevant transaction information.
The resolution requested.

This section does not prevent either party from seeking urgent injunctive or equitable relief to protect intellectual property, confidential information, account security, or prevent immediate harm.
34. Electronic Communications
You consent to receive agreements, confirmations, receipts, subscription notices, policy updates, security messages, and other legally permitted communications electronically.
Narrin may provide electronic communications by:
Email.
Account notification.
Website notice.
In-product notice.
Downloadable electronic record.
You are responsible for maintaining an accurate email address and reviewing communications sent to that address.
You should retain copies of important subscription and purchase confirmations.
Electronic acceptance of these Terms has the same effect as a handwritten signature to the extent permitted by law.
35. Changes to These Terms
Narrin may update these Terms to reflect changes in:
Products and features.
Subscription plans.
Technology.
Security practices.
Business operations.
Legal or regulatory requirements.
The updated Terms will be posted with a revised “Last Updated” date.
When a change is material, Narrin will provide additional notice when required by law, such as an email, account notice, or in-product message.
Changes ordinarily apply prospectively. Changes to an existing prepaid subscription will not retroactively eliminate a refund or access right already earned under the terms applicable to that purchase.
Your continued use of the Services after revised Terms become effective constitutes acceptance where legally permitted. If you do not agree to revised Terms, you must stop using the Services and cancel any eligible subscription.
36. Assignment
You may not assign or transfer these Terms or your account without Narrin’s prior written consent.
Narrin may assign these Terms as part of a merger, acquisition, financing, restructuring, sale of assets, corporate reorganization, or transfer of the Narrin business.
Any permitted successor remains subject to applicable contractual and legal obligations.
37. Events Beyond Reasonable Control
Narrin is not liable for delay or failure caused by circumstances beyond its reasonable control, including:
Natural disasters.
Fire or flood.
War, terrorism, or civil unrest.
Labor disruption.
Internet or telecommunications failure.
Utility outages.
Government action.
Cyberattacks despite reasonable safeguards.
Third-party platform failure.
Widespread cloud-service disruption.
Public-health emergencies.
This section does not excuse payment obligations that arose before the event.
38. Severability
If a provision of these Terms is found invalid, illegal, or unenforceable, the provision will be enforced to the maximum extent permitted or modified to reflect its lawful intent.
The remaining provisions will remain in effect.
39. No Waiver
Narrin’s failure to enforce a provision does not waive its right to enforce that provision later.
A waiver is effective only when made in writing by an authorized Narrin representative.
40. Entire Agreement
These Terms, together with the applicable Privacy Policy, Refund and Cancellation Policy, order terms, product terms, and promotion terms, constitute the agreement between you and Narrin concerning the Services.
They replace prior discussions, representations, or agreements concerning the same subject matter, except for a separate written agreement signed by an authorized Narrin representative.
